These Terms and Conditions constitute a legally binding agreement between you ("User") and MediCred Professional Development LLC ("Company"). The term "ShelfExact" as used throughout this document refers collectively to both the mobile application and the web application available via ShelfExact.com and ShelfExact.app. By creating an account or using the ShelfExact mobile or web application (the "App"), you agree to be bound by these terms.
2.1 Limited License: Company grants you a non-exclusive, non-transferable, revocable license to access ShelfExact via mobile, tablet, or laptop for your internal business inventory management.
2.2 Prohibited Conduct: You shall not: (i) decompile or reverse engineer the App; (ii) use the App to store infringing or malicious code; or (iii) attempt to gain unauthorized access to our systems or networks.
3.1 No Guarantee of Accuracy: ShelfExact is a data management tool for entering inventory transactions and scanning UPC/QR codes. The Company does not guarantee inventory accuracy. The User is solely responsible for performing physical audits to reconcile digital records.
3.2 Disclaimer of Damages: MediCred Professional Development LLC shall not be liable for inventory inaccuracies, user errors, data entry mistakes, or any damages (including loss of profits, business interruption, or inventory loss) arising from the use or inability to use the App.
3.3 "As-Is" Service: The App is provided "As-Is" without warranties of merchantability or fitness for a particular purpose.
3.4 User Responsibility for Camera Use: The App utilizes your device's camera to capture photos of objects for your inventory database. You are solely responsible for ensuring that all photos taken and uploaded are legal, appropriate, and do not violate any third-party rights. MediCred Professional Development LLC, its affiliates, and owners are not responsible or liable for any damages caused by the misuse of the camera feature or the content of the uploaded photos.
All rights, title, and interest in and to ShelfExact, including the websites (ShelfExact.com, ShelfExact.app), software, logos, and user interface design, are the exclusive property of MediCred Professional Development LLC. User data entered into the system remains the property of the User, but User grants Company a license to host and backup such data.
5.1 Billing: All payments are processed through our third-party partner, Stripe.com. By using ShelfExact, you agree to Stripe's terms of service.
5.2 Payment Information: ShelfExact does not see, store, or retain your credit card or sensitive financial information.
5.3 Non-Refundable: Unless otherwise stated, all subscription fees are non-refundable.
The following applies when accessing the App via the Apple App Store or Google Play Store:
Maintenance: The Company is solely responsible for providing maintenance and support services for the App.
Warranty: In the event of a failure to conform to any applicable warranty, you may notify the App Distributor for a refund of the purchase price; to the maximum extent permitted by law, the App Distributor will have no other warranty obligation.
Compliance: You represent that you are not located in a U.S. government embargoed country or listed on any U.S. government list of prohibited parties.
Company reserves the right to suspend or terminate your access to ShelfExact at any time, without notice, for conduct that violates these Terms or is harmful to the business interests of the Company.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
ShelfExact is operated from the United States. While we strive to comply with privacy laws in the countries listed below, you agree that by accessing or using the App, you submit to the personal jurisdiction and venue of the courts in the state of Wisconsin, United States, for any disputes arising from these Terms, notwithstanding any local legal or privacy requirements in your country of residence (including the United Kingdom, Canada, Australia, New Zealand, and Singapore).
